Terms of Use

Parstock is a cloud-based inventory management and ordering platform designed for hospitality and restaurant teams. The Service includes AI-powered order suggestions, par level recommendations, vendor ordering, inventory tracking, delivery confirmation, team management, multi-location support, and related features.

The Service is provided on a subscription basis at $49 per location per month. A 14-day free trial is available for new accounts with no credit card required. Pricing details are available on our website and during the signup process. We reserve the right to modify pricing with reasonable advance notice.

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the authority to enter into a binding agreement on behalf of your business to use the Service.

You agree to provide accurate, current, and complete information when creating an account and to keep that information updated. You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials. You must promptly notify us at support@parstockapp.com if you suspect any unauthorized access to your account.

Parstock accounts are intended for use by one organization. You may not share your account credentials with individuals outside your organization or use a single account to manage multiple unaffiliated businesses.

• Free Trial: New accounts receive a 14-day free trial with full access to all features. No credit card is required during the trial period. At the end of the trial, a subscription is required to continue using the Service.
• Billing: Subscriptions are billed monthly in advance on a recurring basis. Your subscription fee is based on the number of locations in your account at the time of billing. Prices are exclusive of applicable taxes, which you are responsible for paying.
• Location-Based Pricing: Each location added to your account counts toward your monthly subscription total. Adding a location may result in an immediate prorated charge. Removing a location will take effect at the start of your next billing cycle.
• Cancellation: You may cancel your subscription at any time through the Stripe customer portal accessible from Admin → Locations → Manage Billing. Cancellation takes effect at the end of the current billing period; you will retain access through that date.
• Refunds: Subscription payments are non-refundable except as required by applicable law or as explicitly stated in our policies. We do not provide partial refunds for unused portions of a billing period.
• Price Changes: We may adjust pricing with at least 30 days' notice. Continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.
• Payment Processing: Payments are processed by Stripe. By providing payment information, you agree to Stripe's Terms of Service. We do not store your full payment card details.

You retain full ownership of all data you enter into the Service, including inventory records, product catalogs, orders, and vendor information ("Your Data").

By using the Service, you grant Parstock a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and display Your Data solely as necessary to provide and improve the Service, including to power AI features. This license ends when you delete Your Data or close your account.

You are solely responsible for ensuring that Your Data complies with all applicable laws and does not infringe the intellectual property or other rights of any third party. You represent and warrant that you have all necessary rights to submit Your Data to the Service.

We use aggregated and anonymized data derived from usage across all customers to improve our AI models and Service functionality. We will not use your individually identifiable business data to train models that are shared with or accessible to other organizations.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable local, state, national, or international law or regulation.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Service or any component thereof.
• Introduce or transmit any viruses, worms, malware, or other harmful code, or interfere with or disrupt the integrity or performance of the Service.
• Share account credentials with unauthorized users or allow any third party to access the Service through your account.
• Scrape, crawl, or export data from the Service in bulk without our express written permission.
• Use AI features in ways that generate harmful, misleading, defamatory, or unlawful outputs.
• Attempt to gain unauthorized access to any portion of the Service or its related systems or networks.
• Use the Service to develop a competing product or service, or to benchmark against the Service without our consent.

We reserve the right to investigate violations of this section and may suspend or permanently terminate accounts that are found to be in violation, without notice and without refund.

The Service — including its design, software, AI models, algorithms, logos, trademarks, and all content created by Parstock — is owned by or licensed to Parstock and protected by intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

Subject to your compliance with these Terms and timely payment of subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your subscription period for your internal business operations.

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an irrevocable, perpetual, royalty-free license to use that feedback for any purpose without obligation to you.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, the above limitations apply only to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Parstock and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that Your Data caused damage to a third party.

These Terms remain in effect for as long as you use the Service or maintain an account.

You may terminate your account at any time by canceling your subscription through the Stripe customer portal and ceasing use of the Service. You will retain access through the end of your current billing period.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law. Upon termination for cause, no refund will be provided.

Sections 4 (User Content), 6 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Termination), and 11 (Governing Law) survive any termination of these Terms.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Before initiating any formal legal proceeding, you agree to first contact us at support@parstockapp.com and attempt in good faith to resolve the dispute informally for at least 30 days.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or through a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Parstock regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We will not be liable for any failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, government actions, or internet outages.
